A local company is used by investors wanting to operate a business or had an interest in property or other companies in Vanuatu. It has similar characteristics to limited liability companies in most countries around the world.



A Vanuatu local company, which takes approximately three weeks to incorporate, has the following features:
  • Is permitted to do business in Vanuatu and / or hold a land lease;
  • There is no minimum capital requirement, apart from two subscriber shares;
  • An annual audit is only required if the company's annual turnover exceeds VT20,000,000;
  • A minimum of one director is required; who must be a resident of Vanuatu ;
  • A company secretary is required (Hawkes Law can arrange for a company secretary) ;
  • Two shareholders are required (Hawkes Law can arrange for nominee shareholders);
  • The annual government registration fee is based on the authorized capital of the company;
  • An annual return which details a company's directors and shareholders must be filed at the Vanuatu Financial Services Commission and is a matter of public record;
  • There is a requirement to hold one annual general meeting in Vanuatu each year.

  • with copy(ies) of the passport(s) of the beneficial owner(s) and authorised representative(s) (if applicable).
    Where a shareholder is a company, a copy of the company's Certificate of Incorporation and Registers (giving details of its officers and shareholders) are required.
